These Terms & Conditions ("Terms") govern your access to and use of AiClips.co, including its website, applications, and related services (collectively, the "Service"). By creating an account, purchasing a plan, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Eligibility and accounts

You must be at least 18 years old and legally able to enter into these Terms where you live. If you use the Service for a business or another organization, you represent that you have authority to bind that organization. You are responsible for accurate account information, safeguarding your credentials, and all activity performed through your account.

The Service

AiClips is an AI-assisted service for creating, rendering, scheduling, downloading, and, where available, publishing short-form videos. Features, supported providers, output limits, and publishing methods vary by plan and may change over time. A scheduled generation or publishing time is a target, not a guarantee of completion or delivery at an exact time.

Your content and generated output

"Input" means prompts, scripts, instructions, uploaded files, and other material you submit to the Service. "Output" means scripts, images, audio, subtitles, videos, and other material generated for you through the Service. You retain any rights you hold in your Input. You grant AiClips a worldwide, non-exclusive, royalty-free license to host, copy, process, modify, and transmit your Input and Output only as reasonably necessary to operate, secure, support, and provide the Service, including through providers used for AI generation, speech, imagery, rendering, storage, and connected-platform delivery.

As between you and AiClips, AiClips does not claim ownership of your Output. Subject to your plan, these Terms, applicable law, and any third-party rights, you may download, publish, and commercially use your Output. AI-generated material may not be unique or eligible for intellectual-property protection, and other users may receive similar material. Rights in AiClips technology and third-party materials incorporated into an Output are not transferred to you.

Public examples

The Service may display completed Outputs on public AiClips category or example pages to demonstrate available formats. You grant AiClips a non-exclusive, worldwide, royalty-free license to reproduce and display those Outputs on AiClips.co for that purpose. Public examples may include an Output's title and caption, but will not identify your connected social account. You may request removal of an Output from public examples by contacting us at [email protected].

Your responsibilities

You are responsible for reviewing every Output before using or publishing it, including:

• checking factual accuracy, captions, pronunciations, disclosures, and suitability for your audience;
• obtaining all rights, licenses, permissions, and consents needed for your Input and intended use of an Output;
• complying with applicable laws, advertising rules, platform policies, and requirements for AI-generated or commercial content; and
• ensuring that your content does not infringe or violate another person's intellectual-property, privacy, publicity, or other rights.

AiClips does not guarantee that Output is accurate, original, non-infringing, suitable for monetization, or accepted by any social platform. Do not rely on Output as professional legal, financial, medical, or other specialist advice.

Acceptable use

You may not use the Service to:

• create, distribute, or promote unlawful, fraudulent, deceptive, defamatory, harassing, hateful, exploitative, or infringing content;
• impersonate another person, misrepresent an affiliation, or use a person's identity, voice, likeness, or personal information without required permission;
• distribute malware, spam, scams, or content intended to manipulate a platform or its users;
• bypass plan limits, access controls, safety measures, or technical restrictions, or probe or disrupt the Service; or
• use automated means to access the Service except through features or interfaces that AiClips expressly provides.

Connected services and social publishing

If you connect a third-party account or instruct AiClips to upload or publish an Output, you authorize AiClips to act on your behalf within the permissions you grant. You remain responsible for the selected account, caption, required disclosures, and decision to publish. The current YouTube publishing flow submits uploads with public visibility and marks them as not made for kids; it does not currently offer visibility or audience controls. Do not use that flow unless those settings are accurate for your video. Some TikTok workflows deliver a video to your TikTok inbox for you to review and finish publishing, while TikTok Direct Post requires separate review and consent. Provider processing, outages, policy changes, and account restrictions may delay or prevent delivery.

By using AiClips features that access YouTube API Services, you agree to be bound by the YouTube Terms of Service. Your use of connected services is also governed by their other terms and policies, including the Google Privacy Policy, and the TikTok Terms of Service. AiClips is not responsible for third-party services or for their decisions about your account or content.

Subscriptions, billing, and refunds

Paid plans are billed in advance through our payment provider at the price and interval shown at checkout. Subscriptions renew until canceled. You may cancel through the billing controls in your dashboard to stop future renewals. Plan allowances apply to the billing cycle shown in your account, and generation may be unavailable after the applicable allowance is exhausted. A clip counts against the allowance while it is queued, processing, or completed; a clip in a failed state does not count. Episodes created by an automated series use the same allowance as other clips.

Eligible new accounts may receive a free preview. Paid subscription charges are non-refundable except where required by law. You are responsible for applicable taxes and for keeping your billing information current.

Service changes, suspension, and termination

We may add, modify, limit, or discontinue features, supported providers, or plans. We may suspend or terminate access when we reasonably believe an account violates these Terms, creates risk to the Service or others, is used fraudulently, remains unpaid, or must be restricted to comply with law or a provider requirement. You may stop using the Service at any time.

AiClips intellectual property

The Service, including its software, design, branding, models, workflows, and documentation, is owned by or licensed to AiClips and is protected by intellectual-property laws. These Terms do not give you a right to use AiClips names, logos, or trademarks except as necessary to identify the Service.

Feedback

If you submit product feedback or suggestions, you grant AiClips a perpetual, worldwide, royalty-free right to use them without restriction or compensation. This does not transfer ownership of your Input or Output.

Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available." AiClips disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. We do not guarantee any number of views, followers, revenue, engagement, publishing success, or other business result.

Limitation of liability

To the maximum extent permitted by law, AiClips will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to the Service. To the maximum extent permitted by law, AiClips's total liability for all claims relating to the Service will not exceed the amount you paid to AiClips during the 12 months before the event giving rise to the claim. These limitations do not apply to liability that cannot be limited or excluded under applicable law.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold AiClips harmless from claims, damages, losses, and expenses, including reasonable legal fees, arising from your Input, Output, use of the Service, publishing activity, violation of these Terms, or infringement of another person's rights.

Changes to these Terms

We may update these Terms as the Service changes. We will post the revised Terms and update the date above. Changes apply prospectively from their effective date. If you continue using the Service after revised Terms take effect, you accept the revised Terms.

General

These Terms and the Privacy Policy form the agreement between you and AiClips regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of that provision. You may not transfer your rights under these Terms without our consent; AiClips may transfer its rights and obligations as part of a reorganization, financing, merger, acquisition, or sale of assets.
